A leading global law firm is seeking a highly motivated and skilled Mid-Level Associate to join its Employee Benefits and Executive Compensation practice in Atlanta. Key Responsibilities:
Provide expert counsel on ERISA regulations, fiduciary duties, and relevant sections of the Internal Revenue Code (e.g., 409A, 280G).
Draft and review executive compensation agreements, including stock option plans, deferred compensation arrangements, and other incentive programs to ensure compliance with applicable laws and regulations.
Conduct due diligence reviews of employee benefit plans in connection with M&A transactions, assisting in negotiation and drafting of purchase agreement provisions.
Perform comprehensive legal research and analysis on complex employee benefits and executive compensation issues.
Utilize legal research databases and Microsoft Office Suite to efficiently manage client matters.
Qualifications & Skills:
3-6 years of experience in employee benefits and executive compensation law within a reputable law firm.
Strong knowledge of ERISA and the Internal Revenue Code.
Demonstrated experience handling M&A transactions and related due diligence.
Excellent written and verbal communication skills.
Strong analytical and problem-solving abilities.
Proficiency in legal research databases and Microsoft Office Suite.
Ability to manage multiple priorities and thrive in a team-oriented environment.
